About Your New Job:
You will lead the Company Secretarial function within the European business, managing a small team and providing corporate governance and company secretarial support to regulated entities and branches across the region. The role includes advising on compliance with Irish and European governance requirements, coordinating board and committee operations, and ensuring the integrity of the organisation’s corporate records. You will work closely with senior stakeholders across legal, risk, compliance, and business functions.
What You Will Do:
- Lead and manage a team of two company secretarial professionals.
- Provide company secretarial support to Irish, UK, and Swiss entities and other European branches.
- Advise on regulatory governance matters affecting Irish regulated entities.
- Organise and attend board and committee meetings, ensuring accurate preparation of minutes and materials.
- Maintain board calendars, agenda planning, and action tracking across all supported entities.
- Ensure up-to-date maintenance of corporate records using governance systems.
- Liaise with senior internal stakeholders to support governance processes and deliver high-quality board documentation.
- Contribute to wider governance projects and promote best practice across the organisation.
Who You Are:
- Chartered Governance Institute (ICSA) qualified.
- Honours degree (or equivalent) and a minimum of 10 years’ Irish company secretarial experience.
- At least 3 years’ experience within financial services, ideally insurance.
- Strong knowledge of Irish company law and Central Bank of Ireland corporate governance requirements.
- Proven experience drafting minutes and managing board and committee processes.
- Previous people management experience, with the ability to lead and develop a small team.
- Highly organised, detail-oriented, and capable of handling complex governance issues.
- Strong communication and interpersonal skills with a proactive and collaborative working style.
