My client is one of the leading providers of Financial Services in Ireland providing a broad range of business and personal banking services for its Irish customer base.

 

About your New Job

The management of the company secretarial and corporate legal aspects of the Bank also provide related services to other Irish Group companies/branches/committees including Insurance -  Irish branch and the Fund Management side of the business.

COMPANY SECRETARIAL/CORPORATE GOVERNANCE

  • Secretary to the Supervisory and Audit Committee of Insurance
  • Secretary to a number of senior internal committees of the Bank
  • Providing support to directors to ensure compliance with directors statutory duties;
  • Assistance with the management and support of sub-committees of the Board of, (e.g. related party lending committee);
  • General Company Secretarial advice and support to the Bank, including drafting of resolutions and EGM’s as required;
  • Management of compliance with Central Bank’s Corporate Governance Requirements and Directors’ Compliance Statements;
  • Monitoring Company Secretarial/Corporate Governance developments in legislation and regulations (e.g. EBA guidelines) and provision of advice on same.  Implementation of projects rolling out new company secretarial/corporate governance developments;
  • Establishment of Companies & Liquidation of Companies (as required);
  • Management of the maintenance of Statutory Registers and Statutory filings as required by Company Law.
  • Assistance with providing INED Director Training as and when required;
  • Preparation of Company Secretarial Disclosures in Financial Statements; and

 

INSURANCE

  • Management of Insurance requirements, including:
    • Management of all aspects of insurance cover (with the assistance of the insurance broker);
    • Liaising with insurance brokers to co-ordinate insurance obligations;
    • Arranging insurance cover and renewals (as and when required); and
    • Management of insurance claims.

 

 

ADHOC TASKS/PROJECTS

  • Assistance with Adhoc Tasks/Projects as and when required/assigned

 

What Skills You Need

  • 5 years’ experience with Accountancy / Legal Practice or in-house Company Secretarial department
  • ICSA Qualified Company Secretary or similar qualification
  • Ability to work with all levels of the organisation in a professional manner;
  • Have initiative and self-management including being proactive;
  • Highly organised / efficient;
  • Computer Literate; and
  • Good interpersonal / communication skills.
